You may be required to provide certain registration details or other information, including personal and business information, to access specific resources or to engage our Services. You agree that all information you provide to us will be true, current, and complete. You may not impersonate any other individual or entity or use another person's information. By accessing the Website, you represent and warrant that:

We reserve the right to terminate or restrict access to the Website or Services at any time, with or without notice, and without liability.

Intellectual Property & License of Use

All content, materials, frameworks, tools, templates, text, graphics, images, audio, video, design elements, and other intellectual property displayed on or made available through the Website and Services including any derivative works or modifications created thereafter, whether by the Company or with its express authorization are the proprietary property of CMO Atlas LLC or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, revocable, non-transferable, non-exclusive license to access and use the Website and associated content for your personal use or internal business operations only, subject to the following restrictions:

All licenses granted under these Terms, including the right to use any deliverables, templates, or frameworks, shall automatically terminate upon refund, cancellation, or material breach of these Terms by you. Upon such termination, you must immediately cease all use and delete or destroy any copies of protected content in your possession.

All rights not expressly granted in these Terms are reserved by CMO Atlas LLC.

Unauthorized use of our intellectual property constitutes a violation of these Terms and may result in legal action, including but not limited to injunctive relief, damages, and termination of your access to the Website or Services.

You agree that any materials, testimonials, ideas, feedback, or submissions you provide to the Company whether via email, form submission, comment, or otherwise may be used by the Company for business, promotional, or commercial purposes, including incorporation into future products or marketing. This includes, but is not limited to, testimonials, case study contributions, praise messages, or constructive feedback submitted via email, survey, or live call.

You grant us a worldwide, perpetual, royalty-free, irrevocable license to use, modify, reproduce, distribute, and publicly display any such submissions. You also grant us the right to sublicense these rights to trusted vendors or partners as necessary to deliver our services or promotional content.

You waive any moral rights or claims to further compensation for such use. If you do not wish your submission to be used publicly, you must notify the Company in writing prior to or at the time of submission.

Payments, Refunds & Billing Terms

All fees for consulting services, including but not limited to the Half-Day Consult, Advisor, and Engaged offerings, are due in full and payable in advance unless otherwise expressly agreed to in writing by the Company. All purchases are final and non-refundable. By purchasing any Services, you acknowledge and agree that no refunds shall be issued under any circumstances, including but not limited to perceived lack of results, unused Services, scheduling conflicts, or dissatisfaction. You further agree not to initiate any chargebacks or payment reversals with your financial institution.

In the event of a chargeback or payment dispute initiated by you, you shall remain liable for the full amount of the original payment and agree to reimburse the Company for any associated costs, fees, or damages incurred, including but not limited to administrative time, legal fees, and third-party processing costs. The Company reserves the right to pursue full legal remedies available under law in connection with any unauthorized payment reversals or disputes.

It is your sole responsibility to ensure that payment information provided to the Company is accurate, complete, and current at the time of purchase. Failure to remit timely payment may result in suspension or termination of access to the Services, at the Company's sole discretion, without further obligation to you.

Communications & Confidentiality

You understand and agree that contacting the Company through email, direct messages, website forms, or other informal means of communication does not establish a client relationship, fiduciary duty, or any contractual obligation between you and the Company. Only the execution of a formal written agreement and full payment of associated fees shall constitute the commencement of any professional engagement or advisory relationship.

You acknowledge that any information submitted to the Company outside the scope of a paid engagement—whether through website inquiries, email correspondence, social media messages, or other digital channels—may not be secure or confidential. While the Company takes commercially reasonable steps to protect communications, it does not and cannot guarantee the confidentiality or security of information transmitted through such means.

You expressly agree that the Company shall have no liability arising from or related to any unauthorized access to, interception of, or failure to receive communications submitted via informal or unencrypted methods.

The Company utilizes various third-party tools and technologies to operate and enhance the Website and Services, including but not limited to analytics platforms (such as Google Analytics), advertising pixels (such as Meta Pixel), marketing automation systems, and embedded service providers. These tools may collect data such as IP addresses, browsing behavior, referring websites, device identifiers, and other technical information to help us understand user behavior, improve functionality, and deliver relevant content or advertising.

The Company reserves the right to add, remove, or modify the use of any such third-party technologies at its sole discretion, without notice or obligation to you. You acknowledge and agree that your continued use of the Website constitutes acceptance of any such changes to our technology stack or tracking capabilities.

The Website may use cookies or similar technologies to store information on your device or to enhance your browsing experience. By using the Website, you consent to the placement of such technologies unless you actively disable them through your browser settings. Disabling cookies may impair the functionality of certain features or services.

Any engagement or interaction with such third-party technologies is subject to the terms and policies of those respective entities. The Company disclaims all liability arising from or related to the use, misuse, or availability of third-party tools or data collected by them.

Limitation of Liability

To the fullest extent permitted by applicable law, under no circumstances shall CMO Atlas LLC, its members, officers, employees, contractors, affiliates, agents, licensors, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages whatsoever, including without limitation loss of revenue, profits, business opportunities, goodwill, data, or other intangible losses, whether caused by negligence, breach of contract, tort, or otherwise, arising out of or in connection with your access to, use of, or reliance upon the Website or Services even if the Company has been advised of the possibility of such damages.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, the Company's liability shall be limited to the maximum extent permitted by law.

Notwithstanding anything to the contrary contained herein, CMO Atlas LLC shall not be liable for any monetary damages whatsoever, and you agree that your sole and exclusive remedy for any dissatisfaction with the Website or Services is to discontinue use. No refunds, reimbursements, or compensation of any kind shall be owed, regardless of the nature of the claim or alleged harm.

You agree to indemnify, defend, and hold harmless CMO Atlas LLC, its officers, members, employees, contractors, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, demands, actions, judgments, settlements, costs, and expenses (including all attorneys' fees) arising out of or relating to:

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to fully cooperate with us in asserting any available defenses. This indemnification obligation shall apply to the fullest extent permitted by applicable law. In jurisdictions where such provisions are restricted, the scope and duration of this indemnity shall be limited accordingly. Failure by the Company to invoke this right shall not constitute a waiver, and the Company may assert it at any stage of a dispute.

Termination

We reserve the right, in our sole discretion and without notice or liability, to suspend, restrict, or terminate your access to the Website or Services, in whole or in part, at any time and for any reason, including but not limited to:

Upon termination, all rights granted to you under these Terms will immediately cease, and you must promptly discontinue all use of the Website and Services.

The provisions of these Terms which by their nature should survive termination shall continue to apply even after termination of your access to the Website or Services. This includes, but is not limited to, provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any accrued rights or obligations.

Non-Disparagement

You agree not to make, publish, or communicate to any person or entity any defamatory or disparaging remarks, comments, or statements concerning the Company, its affiliates, officers, employees, contractors, clients, or services, whether during the term of engagement or thereafter. This provision does not prohibit statements made as required by law or in legal proceedings.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and the Company with respect to the Website and Services, and supersede all prior or contemporaneous communications, discussions, or agreements, whether oral or written.

Amendment

We reserve the right to amend, update, or modify these Terms at any time in our sole discretion. All changes are effective immediately upon posting. Your continued use of the Website or Services following the posting of any revised Terms constitutes your acceptance of those changes.

Headings

The section titles and headings in these Terms are provided for convenience only and shall not affect the interpretation of any provision.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

Waiver

No waiver of any term or provision of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or the Services shall be resolved exclusively and finally through binding arbitration administered by JAMS International in accordance with its applicable rules and procedures. The arbitration shall be conducted in English by a single arbitrator selected in accordance with such rules, and the seat of arbitration shall be Wyoming, USA, unless otherwise agreed in writing.

If you initiate arbitration and the Company is the prevailing party, you agree to reimburse the Company for all reasonable attorneys' fees and costs incurred in connection with the arbitration. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, the Company retains the right to seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and proprietary information. You agree that such actions may be brought in state or federal courts located in Wyoming and waive any objection to venue or jurisdiction therein.

To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You further waive any right to a jury trial or to participate in a class action against the Company.

Any claim or cause of action arising out of or related to these Terms, the Website, or the Services must be filed within sixty (60) calendar days after such claim or cause of action arose, or be forever barred, notwithstanding any statute or law to the contrary.
